DomainIt Affiliate Agreement:

  1. Introduction. This Affiliate Agreement ("Agreement") is submitted by DomainIt, Inc., an Ohio Corporation ("DomainIt"). This Agreement shall become legally binding between Affiliate ("Affiliate") and DomainIt upon acceptance by DomainIt, all according to the terms set forth below. By submitting the Affiliate sign up form, or by using the DomainIt Affiliate Program ("Program"), you agree to accept these terms and intend to be contractually bound by the terms and conditions set forth herein.     In this Agreement, "we", "us" and "our" means DomainIt, and "you" and "your" means you, as the Affiliate, participating in the Program. "DomainIt Web Site", or "Our Site" means the web site located at http://www.domainit.com, and "Affiliate Web Site" or "Your Site" means the web site at which you establish the links to Our Site as part of this Program.

  3. DomainIt Responsibilities: We will provide all information necessary to allow you to make appropriate links from Your Site to Our Site. We will be solely responsible for processing every application for our services placed by a customer following a link from Affiliate Web Site. DomainIt will be responsible for credit card authorizations, payment processing, cancellations, returns, and related customer service for DomainIt services. Affiliate agrees to redirect to DomainIt any associated customer support inquiries.
  4. Affiliate Responsibilities: If you qualify and agree to participate as an Affiliate, you shall display our links prominently throughout Your Site as you see fit and with our prior consent. You are solely responsible for ensuring that the content of Your Site and your products and services that you offer from Your Site comply with all applicable copyright and other laws.
  5. No Spam policy Affiliate agrees to not utilize Spam in promoting DomainIt. This action may result in the immediate suspension or termination of Affiliate account with a cancellation of any pending commissions. Affiliate will also be in violation of the DomainIt Affiliate Agreement and subject to legal action, to be held liable for any financial loss incurred. For the purpose of this agreement, the definition of Spam includes but is not limited to sending ANY unsolicited information about DomainIt to a person or group, who has not specifically requested the information directly from the Affiliate or is not a personal aquaintance of the Affiliate. This Spam policy includes but is not limited to emails, chatrooms, newsletters, ezines, forums, or faxes.
  6. Registration: To sign up as a DomainIt Affiliate, you must be at least eighteen (18) years of age. To begin the application process, you must submit a properly completed Program application via Our Site. We will evaluate your application and notify you of your acceptance or rejection in a timely manner. We may reject your application or cancel your account at any time if we determine, in our sole discretion that the information you provide is incomplete or innaccurate, or if Your Site is unsuitable for the Program. The following types of web sites may not allowed to participate in domainit's affiliate program: adult sites, sites that display adult ads, sites that promote violence, bigotry, or hatred, sites that promote illegal activity including but not limited to warez, cracking, and hacking sites.
  7. Ads, Links and tracking: DomainIt will provide images and text links to Affiliate, as well as html code in order for Affiliate to display Affiliate Program advertisements on the Affiliate's web site. DomainIt will track sales resulting from a third party user who accesses our site that originate from a link on the Affiliate web site. Links to the DomainIt Affiliate Program will set a browser cookie with a 365 day expiration and you will accrue commissions from any user who has the cookie set in their browser at the time of their purchase. Affiliate will be provided online access to Affiliate account statistics and commission earnings.
  8. Commissions: We will add $50 to your Affiliate account upon acceptance into the DomainIt Affiliate Program. We will add a $50 commission to your account for any new annual hosting sale (does not apply to discounted services). We will add a 20% commission to your account for all net domain name registrations and non-annual web hosting sales on any given month where you have accumulated over $1500 in gross sales. We will add a 15% commission to your account on all net domain name registrations and non-annual web hosting sales on any given month where you have accumulated under $1500 in gross sales. We will add a 2% commission to your account for all net sales resulting from a Sub-Affiliate referred by you. All commissions are based on new customer sales to third parties only, and renewals and upgrades to existing services are excluded from the Affiliate Program. Your entitlement to a commission will accrue only if the customer (i) accesses Our Site by clicking a Link on Your Site; (ii) before exiting Our Site makes a purchase; and (iii) remits full payment to us. Commissions are subject to change at any time. We reserve the right to determine your total commission and you irrevocably consent to our determination of the total commission. ALL COMMISSION AMOUNTS DUE TO CREDIT CARD FRAUD, CREDIT CARD CHARGEBACKS AND ALL OTHER SUBSCRIPTIONS WHICH DO NOT RESULT IN PAYMENT FROM REFERRED CUSTOMER TO DOMAINIT OR WHERE A PREVIOUSLY MADE PAYMENT IS REVERSED WILL BE DELETED FROM YOUR ACCOUNT.
  9. Payments: All applicable payments will be made in US funds once per calendar month. You may select from the available method of payments within the Affiliate control panel. DomainIt will tender any payments owed to Affiliate pursuant to this Agreement not later than thirty (30) days after the end of each month for applicable commissions accumulated by Affiliate during that month. Your initial payment will be due when you have an accumulated commission of at least $125. Future payments will be made when you reach the dollar amount selected by you in the Affiliate Control Panel; you may choose to be paid when your commission reaches $25, $50, $100, $125, $250 or $500. If the total commission owed from us to you is less than the level selected in your Affiliate control panel, we will reserve the payment until the total commission exceeds your selected payment level. Domainit will not pay interest for accrued but undelivered commission payments. IRS tax form W-9 must be submitted by all Affiliates located in the United States of America before payment will be made.
  10. Term of Agreement: The term of this Agreement will begin upon our acceptance of your application and will end when terminated by either party. Either DomainIt or Affiliate may terminate this Agreement at any time, with or without cause, by giving the other party written notice of termination. You are only eligible to earn referral fees on sales occurring during the Term of Agreement.
  11. Modification: We reserve the right to modify any of the terms and conditions contained in this Agreement, at any time and in our sole discretion, by posting a change notice or a new agreement on Our Site or by Email. Modifications may include, for example, changes in the scope of available commissions, payment schedules, payment procedures and Program rules. If any modification is unacceptable to you, you may terminate this agreement. Your continued participation in the Program following our posting of a change notice or new Agreement will constitute binding acceptance of the change.
  12. Limitation of Liability: We will not be liable for indirect, special or consequential damages, or any loss of revenue, profits or data, arising in connection with this Agreement or Program, even if we have been advised of the possibility of such damages. Further, our aggregate liability arising with respect to this Agreement and the Program will not exceed the total commissions paid or payable to you under to this Agreement.
  13. Indemnification: Affiliate agrees to indemnify and hold harmless DomainIt and its respective shareholders, directors, officers, employees, subcontractors, partners, agents and affiliates from and against any and all claims, damages, liabilities, costs and expenses (including reasonable attorneys' fees and expenses) directly or indirectly arising out of or relating to Affiliate's use of the Affiliate Program, and actual or alleged infringement by Affiliate or its agents. This Section shall survive termination or expiration of this Agreement indefinitely.
  14. Warranties. DomainIt provides the Affiliate Program "as is" without any warranty or guarantee. No fitness for a particular purpose is guaranteed and DomainIt does not make, and hereby disclaims, any and all expressed and/or implied warranties regarding its services or any materials provided by DomainIt pursuant to this agreement, including, but not limited to, warranties of merchantability, fitness for a particular purpose, and non-infringement, and any warranties arising from a course of dealing, usage, or trade practice or any warranties and representations of domainit services.
  15. Relationship Between Parties. Both Parties acknowledge and agree that the relationship between themselves is that of independent contractors, and nothing in this Agreement shall be construed as making either Party or any of its employees an employee, partner or representative of the other Party except as may be expressly provided in this Agreement.
  16. Intellectual Property. DomainIt ads, text links, trademarks, and service marks may not be used without expressed written permission except by use of the links provided to you within the Affiliate control panel for the purpose of directing potential users to the DomainIt service.
  17. Force Majeure. Neither Party will be liable for any failure or delay in its performance under this Agreement due to any cause beyond its reasonable control, including act of war, acts of God, earthquake, flood, fire, embargo, riot, sabotage, power outages, labor shortage or dispute, governmental act, or failure of the Internet.
  18. Assignment: You may not assign this Agreement, by operation of law or otherwise, without our prior written consent. Subject to that restriction, this Agreement will be binding on, inure to the benefit of and be enforceable against the parties and their respective successors and assigns. Our failure to enforce your strict performance of any provision of this Agreement will not constitute a waiver of our right to subsequently enforce such provision or any other provision of this Agreement.
  19. Jurisdiction and Governing Law: Affiliate agrees that this Agreement is governed in all respects by and construed in accordance with the laws of the State of Ohio, United States of America. By submitting this Agreement, Affiliate consents to the exclusive jurisdiction and venue of the Courts located in Hamilton County, Ohio, United States, and all courts hearing appeals from such Courts, if the Affiliate, its employees, contractors, partners or affiliates are named in the action.
  20. Entire Agreement: This Agreement constitutes the entire understanding and contract between DomainIt and Affiliate, and supersedes any and all prior and contemporaneous, oral or written representations, communications, understandings and agreements between the parties with respect to the subject matter hereof, all of which representations, communications, understandings and agreements are hereby canceled to the extent they are not specifically merged herein. The parties acknowledge and agree that neither of the parties are entering into this Agreement on the basis of any representations or promises not expressly contained herein.
